Fresnillo announced the promotion of a board member on Friday, saying Charles Jacobs would become a senior independent director.
The move would take effect from the company's annual general meeting on 3 May.
Jacobs, a corporate lawyer, was currently an independent non-executive director, and chairman of the remuneration committee.
He joined the board in May 2014, having advised the firm for some time as a partner at Linklaters.
Fresnillo - the world's largest primary silver producer, and Mexico's largest primary gold producer - made the announcement ahead of its full-year preliminary results on 1 March.
The miner's board also reaffirmed its goal to produce 65 million ounces of silver, and 750,000 ounces of gold by 2018.
