Following the release on 24 October 2024 of the Group's preliminary results for the year ended 31 July 2024, Softcat announces that it has published its 2024 Annual Report and Accounts ('Annual Report') and Notice of 2024 Annual General Meeting ('Notice of AGM') on its website at https://www.softcat.com/about-us/investor-centre.
The Company also announces that its 2024 Annual General Meeting ('AGM') will be held at 11.30 a.m. on 9 December 2024 at Solar House, Fieldhouse Lane, Marlow, Buckinghamshire, SL7 1LW, United Kingdom.
Hard copies of the Annual Report and Notice of AGM will be mailed on 6 November 2024 to those shareholders who have elected to continue to receive paper communications.
In accordance with Listing Rule 6.4.1, the below documents will be submitted to the Financial Conduct Authority via the National Storage Mechanism ('NSM') and will shortly be available to the public for inspection at https://data.fca.org.uk/#/nsm/nationalstoragemechanism.
· 2024 Annual Report and Accounts;
· Notice of 2024 AGM;
· Form of Proxy for 2024 AGM;
· Rules of the Softcat plc Long Term Incentive Plan 2024; and
· Rules of the Softcat plc Annual and Deferred Bonus Plan 2024.
In accordance with the Disclosure Guidance and Transparency Rule 6.3.5(1A), the following regulated information required under DTR 6.3.5 is available in unedited full text within the Annual Report, as uploaded and available on the NSM and on the Group's website:
· the principal risks and uncertainties facing Softcat;
· the Directors' responsibility statement made in respect of the financial statements and Directors' Report contained in the Annual Report; and
· a statement regarding related party transactions.
This information should be read in conjunction with the Group's preliminary results announcement. This announcement is not a substitute for reading the full Annual Report.
